REIGN Companies’ “Private Mortgage Financing Group”

REIGN Companies’ “Private Mortgage Financing Group” was founded by Kevin P. Clay in 2003 to act as Manager and Originator of the
growing portfolio of Promissory Notes secured by mostly Commercial real estate that are originated by REIGN Financial, a California
Licensed Real Estate Broker.

Once REIGN Financial receives a formal request for Private Mortgage Financing the due diligence and underwriting processes are
performed. Once the Loan Request has been approved, REIGN Financial’s pool of mostly Accredited Lender/Investors is notified of the
Note Investment specifics and a brief Offering Summary. At that time any interested Lender/Investor then responds with interest in the
form of a request to receive a complete Loan Disclosure package including all reports and due diligence documents that have been
compiled and reviewed by REIGN Financial.

REIGN Financial then proceeds to aggregate small groups of ten or fewer Lender / Investors that will pool funds sufficient to finance
the proposed note investment. On certain occasions there will be placements that allow many more Lender / Investors. The maximum
Loan to Value on most of these First Loans is between 50 – 65% depending on property type with interest rates that vary from 11% –
15%. On occasion REIGN Financial will place a loan in Second position – subject to our Lender/Investors’ approval.

Kevin P. Clay has been investing in Promissory Notes secured by Real Estate since 1995. The rates of return have mostly varied from
10-12%. REIGN Financial & REIGN Commercial Real Estate actively seek Owners of Commercial Real Estate that are in the market for
